Re: Bank of America Corporation Code of Ethics

Bank of America periodically updates the Bank of America Code of Conduct (the "Code"), including the code of conduct applicable to principal executive officer, principal financial officer and principal accounting officer under SEC rules.

On March 28, 2016, the Code was updated to incorporate several changes, including updates to expand information on employee rights, additional considerations involving communications with regulators, and protections for whistle blowing activities.

The Code provision pertaining to discrimination and harassment was expanded, and awareness of workplace violence was added.

The Code was further updated to include restrictions involving gifts among employee, guidance on use of electronic communications and social media, and a new message from CEO.

Bank of America Corporation is committed to the highest standards of ethical and professional conduct. The Bank of America Code of Conduct provides basic guidelines of business practice and professional conduct that are expected to adopt and uphold as Bank of America employees.

To instill public trust and confidence, this Code is intended to guide conduct and illustrate how it lives values as individuals and as a team.
